Independent Quality Foods, LLC (IQ Foods) sued Kansas City Steak Company, LLC (KC Steak) for unpaid commissions under a marketing/brokerage agreement. The circuit court granted summary judgment for KC Steak, finding the contract terminable at will and requiring an addendum for certain customers. The appellate court reversed and remanded, holding that KC Steak's summary judgment motion was deficient for failing to address whether IQ Foods' right to commissions could survive termination, that a pricing change did not necessarily terminate commissions, and that no addendum was required for "In-Process" customers listed in the original agreement.
